Practice focuses on corporate finance transactions and all aspects of commercial law, including public finance and banking law, and transactional work for financial institutions in areas such as real estate financing, construction and development, federal Assignment of Claims issues, public debt and equity financings, letter of credit transactions, loan participations and syndications and loan workouts and restructurings.

Relevant Experience
  • Special assignment as a workout consultant for regional bank client from July 1991 through December 1992.
  • Represented Fortune 500 corporations in connection with financings for takeovers aggregating over $1,000,000,000.
  • Represented agent and lead lender in $750,000,000 financing for purchase of local exchange network in the Midwest.
  • Corporate Counsel, Bank of Virginia (now Signet Bank), 1976–84.
  • Advised firm client on workout strategies for debt secured by power plant in South America.
  • Represented bank group in connection with infrastructure financing for arena.
  • Represented lead lender in syndicated $600,000,000 credit facility to support capital improvement project for mass transit facilities.
  • Represented numerous lenders and technology companies in connection with mergers and acquisitions, venture capital financings and asset based loans.
  • Represented commercial finance subsidiary of Fortune 500 corporation in providing financing of energy savings and generation projects.
