Jack A. Molenkamp

Practice focuses on general business and finance, with an emphasis on energy matters.  He has represented utility affiliates, developers, lenders and governments with respect to both electric and oil and gas projects.  He also has broad experience in securitization, public and private debt and equity offerings and bankruptcy matters. His background allows him to bring a broad base of knowledge to any situation.

Relevant Experience
  • Represented an African government with respect to the construction and financing of a gas pipeline and conversion of existing turbines.
  • Represented an African government with respect to the development of a 250 MW hydro-electric facility.
  • Represented the investors in a U.S. hydro-electric project on the Atchafalaya River.
  • Represented an African government with respect to the possible installation of LNG facilities.
  • Represented American Transmission Company LLC in connection with its organization and acquisition of transmission assets from five Wisconsin utilities.
  • Represented an electric utility affiliate in connection with a 150 MW co-generation facility on state-owned land, including preparing ownership, operating and maintenance, and lease documents, and financing the facility through a private placement.
  • Represented an electric utility affiliate in connection with its investment in two new 615 MW coal-fired generating facilities, including preparing ownership, operating and maintenance, and lease documents.
  • Represented an electric utility in connection with its proposed sale of a minority interest in a 3200 MW coal-fired generating facility.
  • Represented a biogas energy company in its bankruptcy proceedings, including the sale of its U.S. assets to a stalking-horse bidder, and the restructuring of its overseas debt.
  • Represented the lenders in connection with the workout of their debt in a gasification-technology company.
  • Represented an energy services company in connection with its participation in the development and installation of gas-fired turbines.
  • Represented an energy services company in connection with the development of a stand-alone compressed air facility for a manufacturing plant.
  • Represented two venture capital funds, one domestic and one focused on Africa.
  • Represented several Japanese companies with respect to various activities in the United States.
  • Represented issuers in over 100 securitizations involving several billion dollars of mortgage loans, manufactured housing contracts and auto loans.
  • Represented issuers and underwriters with respect to various REIT offerings and financings.
  • Represented a hedge fund with respect to its workout and the sale of its mortgage servicing arm.
  • Represented an SBA lender in its bankruptcy proceedings.
