Practice focuses on all areas of employee benefits, including executive and stock-based compensation, ERISA issues arising in mergers and acquisitions, pension and welfare plans and issues of fiduciary responsibility.
Relevant Experience
- Advised clients on the design and implementation of stock-based compensation plans including stock options, awards of restricted and phantom stock and stock appreciation rights.
- Advised clients on all aspects of executive compensation including the design, disclosure and implementation of supplemental pension plans, excess benefit plans and employment agreements.
- Negotiated employee benefits issues arising in numerous corporate acquisitions and divestitures and reorganizations.
- Advised clients on change in control and severance matters, including the golden parachute excise tax and deduction limits.
- Designed and implemented employee stock ownership plans and alternative arrangements for the investment by qualified plans in employer securities.
- Advised clients in connection with the investment of plan assets in entities such as limited partnerships, limited liability companies, collective trusts and other nonpublic entities.
- Represented clients in ERISA litigation including suits alleging breaches of fiduciary duty, claims for surplus pension assets and claims for benefits.
- Advised clients in connection with the standards of fiduciary duty prescribed by ERISA.
