Relevant Experience
- Represented a national life and health insurance company in mergers and acquisitions, capital markets transactions, SEC compliance and reporting, corporate governance and board advisory matters, including its initial public offering, acquisition of its primary insurance subsidiary and a public company merger.
- Represents a Fortune 500 insurance company in connection with mergers and acquisitions, including its (i) acquisition of a Medicare insurance company, (ii) disposition of a significant life and health employee benefits insurance division and (iii) acquisition of a healthcare services coordination company.
- Represented a public life sciences technology company that provided safety and source verification products to the food and agricultural industries in mergers and acquisitions (including the ultimate sale of the company), SEC compliance and reporting, financings, corporate governance and board advisory matters.
- Represented an international packaging company in mergers and acquisitions, capital markets transactions, SEC compliance and reporting, corporate governance and board advisory matters, including several acquisitions and dispositions of significant businesses, offerings of common stock and debt securities, tender offers, and commercial bank credit facilities.
- Represents a Fortune 500 food company in its on going M&A program including its (i) acquisition of the hog production and processing assets of a competing public company through the target's bankruptcy proceedings and (ii) disposition of its significant beef production and processing division.
- Represents public real estate investment trusts (REITs) in mergers and acquisitions and securities offerings.
- Represents public companies threatened with hostile takeovers in evaluating their fiduciary duties and takeover defenses and strategies, including the successful defense of Chesapeake Corporation employing the rarely-used "Pac Man" defense.
- Represented a Fortune 500 grocery wholesaler and retailer in financing and closing acquisition transactions and ultimate sale of the company
- Provides pro bono representation of charitable organizations in formation and organizational matters, 501(c)(3) tax exempt status applications and general corporate governance, board advisory, tax and legal matters.
