Asset Securitization Commercial Paper Programs Debt Financing Derivatives International & Cross-Border Transactions

Practice focuses on asset securitization, private investment funds and capital market financings. Practice includes the representation of issuers, investment banks and credit enhancement providers in connection with mortgage-backed and asset-backed structured finance transactions and the representation of management and investors in the formation and operation of private equity funds investing in securitized assets. Experience in developing commercial paper and term securitization programs, including the structuring, negotiating and documenting of domestic and international transactions for the financing of residential and commercial mortgages, small business loans, auto loans, future receivables, computer leases, equipment leases, trade receivables, synthetic leases, corporate debt and other financial assets.
Relevant Experience
- Represented monoline financial guaranty insurer as special RMBS counsel, in connection with an exchange offer for over $6.8 billion of insured residential mortgage backed securities, effectively commuting financial guaranty insurance policies related to approximately $3.8 billion of RMBS and approximately $1.2 billion in loss reserves associated with the insurer's RMBS portfolio.
- Established residential mortgage securitization program for a top 5 mortgage originator.
- Represented several investment banks in connection with multiple offerings by the first issuer to publicly offer securities backed by small business loans.
- Represented management in the formation of multiple private equity funds to invest in mortgage related securities.
- Represented Spanish bank and subsidiary investment bank in connection with the offering of pass-through certificates backed by Argentine telecommunications receivables.
- Represented U.S. investment bank in connection with the issuance of asset-backed certificates backed by future receivables of Brazilian manufacturing concern, employing a performance bond credit enhancement structure.
- Represented large independent leasing company in connection with term and commercial paper financing facilities for computer, telecommunications and other equipment leases.
- Advised U.S. government agency in connection with the establishment of a program to repackage outstanding mortgage backed securities.
