Practice focuses on representation of borrowers and lenders on a wide variety of corporate finance transactions; representation of loan servicers in arranging secured lines of credit, acquisition and sales of servicing rights; representation of issuers, investment banks and credit enhancement providers in connection with securitization of financial assets; acquisition and venture capital financing; public and private equity and debt offerings and placements.

Relevant Experience
  • Representation of servicers of mortgage loans with respect to all facets of their business, including acquisitions and sales of servicing rights and loans, and financing servicing advance receivables and servicing rights both through structured facilities and in traditional credit facilities; including design of master trust structure combining revolving notes and term notes to maximize borrowing efficiency.
  • Representation of sponsors and placement agents in issuances of securities qualifying for the Term Asset-Backed Securities Loan Facility (TALF) sponsored by the federal reserve Bank of New York.
  • Representation of several financial guaranty insurers on numerous public asset-backed securities transactions backed by closed-end and revolving home equity lines of credit and sub-prime mortgage loans, and restructuring of a major monoline insurer.
  • Representation of consumer finance companies in start-up, development of lending operations, initial public offerings, negotiating working capital financing arrangements, negotiating venture capital equity and debt financing, negotiating acquisition of finance companies, negotiating and drafting warehouse lines of credit with "table-funding" features to facilitate lending operations, assisting in implementing underwriting guidelines and negotiating them with financing partners, negotiating and drafting loan sales and purchase and securitization arrangements, negotiating and drafting public equity offering documents and seeing them through the SEC registration process.
  • Representation of lenders and borrowers on secured mezzanine financing of real estate development projects.
  • Represented several issuers in connection with development of mortgage loan and consumer finance contract securitization programs and in offerings of mortgage-backed and asset-backed securities, including design and implementation of first government-guaranteed REMIC mortgage-backed securities program.
  • Representation of ABS issuers on establishment of shelf registration statements.
  • Representation of manufactured housing contract originators in all aspects of their financing and equity needs.
  • Negotiated numerous "warehouse" lines of credit on behalf of both borrowers and lenders with respect to residential mortgage loans, manufactured housing installment sales contracts, construction loans and commercial mortgage loans.
  • Represented inventor in connection with three sales of marketing business and technology rights.
  • Representation of venture capital investors in negotiating a wide variety of debt and equity investments.
