Employee Benefits Health Care Leasing Taxation: Federal, State, Local & Cross-Border

Practice focuses on all areas of employee benefits, including plan design, administration and compliance, executive and stock based compensation, investment of plan assets, administration and coordination of welfare plan arrangements and fiduciary issues arising in pension plans.
Relevant Experience
- Advised clients on design and implementation of nonqualified deferred compensation plans, including supplemental pension plans, elective deferral plans and other "top hat" arrangements.
- Advised clients on design and implementation of option and other stock-based compensation plans, including plan documents, award agreements, proxy disclosures and prospectuses.
- Advised clients in connection with leveraged lease and syndicated loan transactions and private debt and equity offerings.
- Advised clients in connection with the investment of plan assets in entities such as limited partnerships, investment funds and other non public entities.
- Advised clients on all aspects of HIPAA and draft materials for use by clients to comply with privacy and security rules.
- Draft welfare plans and related materials including COBRA forms and explanations.
- Advised clients on parachute excise tax and deduction limits upon change of control.
- Advised clients on terms and conditions of stop loss and various administrative service arrangements.
