Jay Moore is head of the firm's Corporate Team. His practice focuses on mergers and acquisitions, corporate finance, corporate governance and private equity. He has extensive experience representing public companies in connection with M&A transactions, financings and joint ventures. On the private equity side, he regularly represents private equity firms in acquisitions and investment transactions and portfolio companies in financings, acquisitions and exit transactions through a sale or IPO. Corporate finance experience includes public and private equity and debt financings. Industry experience encompasses consumer products, software, coal, life sciences, chemicals and manufacturing.
Relevant Experience
- Represented several Fortune 500 manufacturing companies in connection with their significant acquisitions and dispositions over the last 10 years.
- Represented publicly held software company in connection with its two-step acquisition by a U.K. entity.
- Represented the Independent Committee of the Board of Directors of a publicly held company in connection with a "going-private" transaction.
- Represented two separate private equity funds in substantially all of their investment transactions and exit sales over the last 10 years.
- Represented a privately held life sciences company in its merger with a public company with the surviving entity being a public company, a related PIPE financing and a license agreement with a foreign pharmaceutical company.
- Represented private equity sponsored consumer products company in a series of acquisitions and the ultimate sale of the company to another private equity group.
- Represented seven different public and private coal companies in connection with various acquisitions and dispositions.
- Served as issuer’s counsel on several IPOs covering industries ranging from telecommunications to a royalty trust for gas reserves.
- Represented start-up used car superstore business in financings and related franchise matters from inception through ultimate sale to NYSE listed company.
