Cyane Crump is a partner in the firm's Private Equity Group of the Corporate Team. Ms. Crump's transactional practice focuses on corporate, securities and general business matters with a particular emphasis on private equity, domestic and cross-border mergers and acquisitions, private investment fund formations and public and private securities offerings.
Relevant Experience
Ms. Crump regularly advises:- private investment funds in investments, acquisitions and acquisition-related financings and Investment Advisers Act of 1940 and Investment Company Act of 1940 exemption and compliance matters;
- institutional investors, including state pension funds, and fund sponsor groups in the formation of private investment funds;
- public and private corporations, limited liability companies, partnerships and other entities, including REITs, manufacturing companies, regulated utilities and energy suppliers, with respect to general business and commercial matters;
- public and private companies, including Fortune 500 companies and their boards of directors, in connection with public and private mergers, acquisitions, dispositions and joint ventures, including transactions in distressed industries;
- issuers, including Fortune 500 companies, and underwriters in connection with public and private offerings of equity, debt and trust preferred securities;
- multinational clients in connection with domestic and cross-border mergers, acquisitions and joint ventures;
- public and private companies on takeover matters, including tender offers, proxy contests, consent solicitations and general takeover defense measures; and
- public and private companies on securities laws compliance and corporate governance matters, including board of directors presentations, charter design and compliance with the Sarbanes-Oxley Act of 2002.
Recent experience includes: representation of fund sponsor groups in connection with fund formations focused on real estate and distressed asset opportunity funds, including in connection with potential participation in recently announced governmental programs; representation of various private investors, public pension plans and private pension plans in connection with investments in private equity funds, venture capital funds and hedge funds; multiple complex, cross-border divestitures for a leading company in the automotive industry; multiple distressed industry and Section 363 bankruptcy M&A transactions; and representation of the board of directors of a public utility in its acquisition by an offshore entity in a public company merger transaction.
