Practice focuses on Capital Markets. Emphasis on securities law matters, including issuer and underwriter representation of initial, follow-on and secondary equity offerings; debt offerings, including shelf registration statements and take-downs, medium-term note programs, investment grade and high yield offerings with registered exchange offers; domestic and international offerings under Rule 144A, Reg. D and Reg. S; annual and special meeting proxy statements; ongoing Exchange Act reporting matters, and corporate governance.
Relevant Experience
- Served as a Special Counsel and Staff Attorney with the U.S. Securities and Exchange Commission in Washington, DC from 1993 to 1998.
- Substantial issuer and underwriter representations, including:
- REITS
- $125 million high yield debt and exchange offer for hotel REIT
- $360 million 144A/Reg. D common stock offering for start-up REIT
- $90 million common stock and $65 million preferred stock offer for Class A office space REIT
- $50 million debt and $80 million equity offer for retail space REITs
- Common stock offer for apartment community REIT
- Energy Sector
- Approximately $8 billion in equity, secured and unsecured debt offers for electric utilities and utility holding companies
- $384 million and $308 million debt and exchange offers for generation power plant projects
- $300 million debt shelf for natural gas utility
- Telecommunications
- $375 million high yield debt and exchange offer for regional PCS/LEC
- $48 million equity offer for regional ILEC/CLEC
- $150 million high yield debt and exchange offer for media company
- $1 billion debt offer and $1 billion medium term note program for Polish national telephone company
- Advise public companies on shareholder communications and proxy matters, particularly shareholder proposals under SEC Rule 14a-8 and proxy contests for control.
