Daniel M. LeBey

Mr. LeBey is a partner on the firm's Corporate Team and a member of the Real Estate Capital Markets Practice Group. He has practiced law since 1992 and joined the firm in 1998.  His practice focuses on corporate finance, mergers and acquisitions and general securities and corporate matters.

Mr. LeBey has represented issuers and underwriters, placement agents and initial purchasers in public and private equity and debt offerings of all kinds in a broad array of industries, with a particular focus in the real estate, financial services and specialty finance industries.  He represents equity and mortgage real estate investment trusts, or REITs, and a variety of other real estate related businesses and specialty finance companies and their sponsors. Mr. LeBey's practice also includes merger and acquisition transactions, representing buyers and sellers in both public and private transactions, as well as providing general corporate, securities and corporate governance advice to public company clients.

Relevant Experience

  • Served as lead issuer’s counsel in numerous initial and follow-on public equity offerings, private offerings of common stock under Rule 144A, private placements under Regulation D, and public and private offerings of preferred equity and debt securities.
  • Represented leading regional, national and international investment banking firms in numerous initial and follow-on underwritten public and private offerings of equity and debt securities.
  • Advised management teams and boards of directors with respect to corporate fiduciary matters, corporate governance matters and conflict of interest transactions.
  • Advised numerous public company clients with respect to their periodic reporting, disclosure and other securities law compliance matters.
  • Represented acquirors and targets in numerous merger and acquisition transactions.
  • Represented REITs and other real estate related businesses in acquisition and development joint ventures and related financings.
  • Served for two years as associate general counsel of a leading public real estate services company, overseeing mergers, acquisitions, securities offerings, strategic alliances, periodic reporting and other regulatory compliance matters, commercial contracts and general business matters.
