Practice focuses on Asset Securitization, Derivatives, Banking and Finance, Capital Markets, Structured Financing, Corporate and Securities Law, Debt Finance, Real Estate Finance and Development and Real Estate Investment Trusts, primarily in relation to the development and marketing of financial accommodations and fixed income investments. - Represents bankers, insurers, treasurers, broker-dealers and fiduciaries at the world's leading financial institutions in analyzing, issuing, underwriting, selling, servicing and administering mortgage- and asset-backed securities.
- Implements hedging and other risk management strategies for banks, dealers and insurance companies using alternative risk transfer techniques, including synthetic securitization, catastrophe bonds and credit default swaps.
- Achieves investment adviser objectives to increase assets under management and augment advisory fee income through sponsoring and managing assets for collateralized debt obligations (CDOs).
- Handles bank, insurance and broker-dealer regulatory aspects of engaging in financial transactions, including the effects of accounting standards on the risk-based capital and regulatory treatment of those transactions.
- Counsels credit enhancement providers with regard to mortgage insurance, bond insurance, transformer company structures, total return swaps and other credit risk transfer products in asset securitization transactions.
- Establishes and assists in managing commercial credit facilities such as asset-backed commercial paper conduit programs, medium-term notes, repos, warehouse financing, auction-rate debt, secured loans and letters of credit.
- Structures, negotiates and documents syndication, participation, sale, servicing and joint investment agreements for secondary market transactions relating to financial assets, including mortgage loans, auto loans and credit card accounts.
- Advises clients as to debt financing secured by mortgages, auto loans, leases, installment sale contracts, securities, credit card accounts, trade receivables, commercial financing and other financial assets.
- Creates leveraged investment platforms for hedge funds, managed accounts, REITs and investment partnerships that have holdings which include mezzanine corporate and commercial mortgage investments.
- Provides legal guidance on financing the development, construction and sale of both commercial and residential real estate.
