David Wells is a partner in the Hunton & Williams Miami office. His areas of concentration include private and public securities offerings, general private and public company representation, mergers and acquisitions, tender offers, exchange offers and venture capital. As such, Mr. Wells routinely assists clients with SEC registered initial public offerings and secondary offerings of equity and/or debt securities and various types of private placements, including PIPES, Rule 144A, Regulation D, Regulation S and Rule 144 offerings. In addition to his legal experience, Mr. Wells has over four years of experience as the president and owner of a legal and financial consulting company.As primary outside corporate and securities counsel, Mr. Wells has also assisted clients with: - strategic acquisitions

- hostile takeovers and hostile takeover defenses

Mr. Wells has represented a wide variety of public and private clients, including telecommunication service and infrastructure providers, hi-tech equipment and service providers, regulated and unregulated financial service providers, REITs, real estate developers, investment funds, hedge funds, poultry producers, healthcare providers, biotech, medical device manufacturers, fast food franchisers, child care providers and manufacturing and distribution companies. His clients have ranged from start-up operations to Fortune 100 Companies. Mr. Wells' relatively unique financial and legal background has assisted a number of small companies grow into large, established private or public companies.
