Practice focuses on representing banks and other financial institutions in connection with corporate and asset based lending transactions and asset securitizations. Additionally, Mr. Schneider regularly advises lending clients with respect to troubled loans, work-outs and loan restructuring matters.
Mr. Schneider has significant experience advising public and private companies in connection with acquisitions, divestitures and other significant corporate transactions, including tender offers, stock-for-stock mergers, proxy contests, cash mergers, restructurings, spin-offs and stock and asset acquisitions and dispositions, including cross-border transactions.
Relevant Experience
- Representation of senior secured lenders in structuring, documenting, negotiating and closing numerous syndicated, “club” and non-syndicated cash flow and asset-based financings for borrowers in a wide array of regulated and non-regulated industries, including: transportation, manufacturing, retail, telecommunications and media. Significant experience in complex structuring to accommodate issues arising from regulatory and junior capital matters, as well as significant workout, restructuring and bankruptcy representations. Recent representative transactions include:
- Counsel to lender over a ten-year period with respect to structuring, documenting, negotiating and administration of revolving credit and term loan facility for a national specialized trucking company through two bankruptcy proceedings culminating with a sale of assets in the second bankruptcy case resulting in the payment in full of all obligations due to the lender.
- Ongoing long-term representation of lender in connection with a facility for a significant competitive local exchange telecommunications carrier. Initially structured as an asset-based revolving credit facility, worked with lender and borrower to amend the facility to accommodate borrower’s significant business expansion, as well as a series of equity and subordinated debt investments in the company. In the face of the monumental downturn in the telecommunications industry generally, worked with lenders and various other constituencies to completely restructure the resulting $89 million term loan, including the assumption of the facility by the surviving entity in a merger involving borrower.
- Counsel to Agent in syndicated U.S. and U.K. facilities for a borrower and its subsidiaries engaged in the outdoor advertising industry in the United States and Europe, structured, documented and closed in a 28 day period to accommodate year-end closing requirements of the parties.
- Representation of numerous clients in connection with mergers and acquisitions, financings and ongoing corporate matters, with significant experience in the telecommunications and hospitality industries.
