Practice focuses on corporate finance, asset securitization and structured finance transactions.
Relevant Experience
- Representation of issuers, servicers and credit enhancement providers in securitization transactions; asset types include residential mortgages and manufactured housing-related receivables.
- Representation of residential mortgage loan servicers with respect to all facets of their business, including acquisitions and sales of servicing rights, and financing servicing advance receivables and servicing rights both through structured and conventional credit facilities.
- Representation of sponsor and servicer in issuance of securities qualifying for the Term Asset-Backed Securities Loan Facility (TALF) sponsored by the Federal Reserve Bank of New York.
- Representation of major U.S. bank as master servicer, trustee, and bond administrator on mortgage- and asset-backed securities transactions.
- Representation of bank-sponsored asset-backed commercial paper conduits in transactions involving trade receivables, mortgage loans and other financial assets.
- Representation of commercial banks and mortgage companies in sales of residential mortgage loan portfolios in the secondary market.
- Representation of Ginnie Mae in connection with its Multiclass Securities Program.
