Frank J. Murphy, Jr.

Provides consulting, strategic advice, and oversight to the firm’s client services activities.  Practice focuses on a broad array of legal and regulatory issues related to the products, businesses and governance of financial institutions, including commercial banks, investment banks, universal banks and broker-dealers.

Relevant Experience
  • Served as Deputy General Counsel for Bank of America Corporation and its subsidiaries; responsible for management of 100 attorneys in twelve domestic and international offices.
  • As Chief Legal Officer of Bank of America’s Global Corporate and Investment Bank, managed the domestic and international legal affairs of the following functions and client groups: Corporate Loans/Portfolio Management and Syndicated Finance, Workouts, Derivatives and Foreign Exchange, Project Finance and Leveraged Leasing, Equities, High Grade and High Yield Debt, Asset-Backed and Mortgage-Backed Securitizations, Investment Banking, M&A Advisory, and Private Equity/Venture Capital.
  • As Legal Executive for Bank of America’s Real Estate Lending/Finance Group and its Asset-Based Lending/Business Credit Division, managed the internal and external legal affairs of these businesses throughout the United States.
  • Chartered, registered and developed corporate governance procedures for Banc of America Securities LLC, Bank of America Corporation’s institutional broker-dealer.
  • Supervised and/or participated in numerous mergers and acquisitions of various financial institutions including federal and state chartered commercial banks and thrifts of various sizes, a U.S. multi-office institutional investment bank and broker-dealer, an international derivatives trading house, a U.K. based securities broker, and a South American investment bank.
  • Chartered, organized and provided corporate governance advice to several financial businesses and companies including credit card companies, a retail broker-dealer, an institutional broker-dealer as well as state and national banks.
  • Served as financial regulatory counsel in a wide variety of contexts. With respect to banking activities, worked with the Federal Reserve, Comptroller of the Currency, FDIC, and various state banking authorities. In connection with securities activities, interacted with the SEC, NASD, NYSE, and state securities regulators. Also, handled regulatory affairs with respect to banking and securities regulations in foreign jurisdictions, e.g., U.K., Hong Kong, Singapore, Brazil, Mexico, etc.
  • Managed and/or participated in the supervision of several complex litigation matters, arbitrations, and regulatory investigations relating to a variety of financial services activities, including securities trading, underwriting, structured transactions, commercial and real estate finance, employment disputes, etc.
