Mr. Greef is a partner and co-head of the Financial Institutions Corporate and Regulatory team. His practice focuses on representation of independent community banks and their owners and holding companies.
Relevant Experience
With over 30 years in the practice representing independent community banks and their owners and holding companies, Mr. Greef's experience includes:- Mergers and acquisitions of healthy and troubled banks, branch sales and purchases, failed bank acquisitions and mergers of equals.
- Public and private capital formation, initial public offerings, trust preferred issuances and TARP securities. He has worked with community banks on issuer tender offers, reverse stock splits and going private transactions.
- Formation of numerous de novo banks and thrifts including the first "shelf charter" approved by the OCC in November, 2008 to allow private investors to bid to acquire failed depository institutions from the FDIC.
- Assisting over 100 community banks in making Subchapter S federal income tax elections.
- Negotiation of regulatory enforcement actions on behalf of troubled financial institutions and preparation of capital plans and other actions to comply with regulatory administrative actions.
- Advising on officer and director compensation packages, stock option plans, ESOPs and KSOPs and change in control agreements.
- General regulatory work including lending limit, Affiliates Act, Bank Secrecy Act and Community Reinvestment Act advice.
