Mr. Plangtrakul maintains both a cross-border and a domestic legal practice. His practice focuses on project development and finance and related mergers and acquisitions. Mr. Plangtrakul has worked on energy and infrastructure projects in several countries in Asia and North America. He also advises public and private entities on general corporate matters, capital markets work and international and domestic commercial transactions.
Relevant Experience
- Represents the development company owned by foreign and Thai energy firms in the shareholder arrangements for and development of electricity generating facilities using solar, wind and renewable energy under Thailand's Small Power Producer and Very Small Power Producer Programs.
- Represented affiliates of a major U.S. conglomerate on two private sales of equity interests in electricity generating assets in the Philippines.
- Represented Banpu Public Company Limited, a major Thai energy and coal mining concern, in its US$420 million acquisition of an additional 78% equity interest in Asian American Coal, Inc., an offshore holding company that holds a 56% interest in the Daning Coal Mine and a 45% interest the Gaohe Coal Mine, both located in Shanxi Province, China.
- Represented a project company, which owns a 460 MW coal-fired electricity generating facility in the Philippines, in the issuance of US$100 million unsecured subordinated fixed-rate promissory notes.
- Represented a major Thai energy firm on competitive bids to acquire two Singapore electricity generating facilities, each with a generation capacity of over 3,000 MW, from the Singapore government’s investment arm.
- Represented Thailand’s energy ministry on the review of the internal power purchase agreements of the Electricity Generating Authority of Thailand.
- Represented a major Thai energy firm in the THB800 million divestment of its equity interest in a Thai-American joint venture that holds interests in the 165 MW Amata-EGCO and the 112 MW Amata Power (Bangpakong) cogeneration facilities, both located in Chonburi Province, Thailand, and its indirect equity interest in the related O&M company.
- Represented a major Thai energy firm on all aspects of the preparation and submission of multiple proposals to develop, build, own and operate gas-fired, combined-cycle electricity generating facilities in various regions of Thailand, with a combined generation capacity of 2,800 MW as part of the Thai energy ministry's 2007 Independent Power Producer Solicitation Program.
- Represented a subsidiary of an Asian merchant banking group in the US$10 million sale of equity interests in two Singapore fund management portfolios to a Singapore-based asset management company.
- Assisted on the representation of the project company of Singapore Stock Exchange-listed Hyflux Ltd. in the development, construction and financing of a US$100 million, 136,380 m3 per day desalination plant. The first desalination facility to supply potable water in Singapore.
- Assisted on the due diligence review and documentation for a major Thai energy firm in its acquisition of 50% interest in the US$1 billion, 1,400 MW coal-fired BLCP Power Project in Rayong Province, Thailand, from a local unit of Hong Kong-based CLP Holdings Limited.
