Bryar's practice focuses on public finance and tax-exempt bond financings.

Bryar's practice focuses on public finance and tax-exempt bond financings, including transportation financings, airport and infrastructure financings, housing financings, solid waste and pollution control financings, public-private partnerships, 501(c)(3) financings and other municipal bond financings. She has experience in structuring negotiating and documenting transactions, as well as supervising all details necessary for financial closing for clients as bond counsel and counsel to governmental issuers, underwriters, educational institutions, not-for-profit entities and private developers.

Bryar is a member of the Richmond Bar Association and the American Bar Association.

Relevant Experience

  • Represented concessionaire in a long-term PPP concession agreement for $1.8 billion major roadway project in South Florida.
  • Served as bond counsel for several major toll road initiatives under the innovative public/private transportation act in Virginia including involvement in drafting legislation, formation of 63-20 corporation and successful financial closing of several transactions, including the original financing of the $1.5 billion I-495 Capital Beltway Hot Lanes project and the refinancing of the project in 2010.
  • Represented a number of airports and other issuers of airport bonds in financings secured by airport revenues, PFC revenues and other facility specific revenues.
  • Supervised bond counsel representations for several state-wide issuers, including the Commonwealth of Virginia under its general obligation bond programs and a statewide housing financing authority.
  • Managed bond counsel representations relating to housing bonds financed under federal programs involving GNMA, Freddie Mac and Fannie Mae, under bond insured/letter of credit programs, under standalone revenue bond structures with an investment grade rating and as private placements.
  • Represented a large investor owned utility in numerous tax-exempt solid waste and pollution control transactions.
  • Served as bond counsel to a variety of not-for-profit corporations in tax-exempt bond transactions including housing corporations, museums and educational institutions.
  • Assisted in obtaining a favorable Internal Revenue Service Ruling for a large investor owned utility that permitted the completion of an over $1 billion takeover financing by a state-formed governmental authority.
  • Represented a variety of private companies using private activity bond financings, including a refunding bond program for one large company involving refundings in approximately 20 locations.
  • Drafted legislation relating to statutory and constitutional public finance matters, assisted in test case legislation relating thereto.
