Heather has experience advising clients on energy regulation, commercial contracting and technology transactions, corporate governance, and general commercial matters.

Heather's practice focuses on the representation of domestic and international energy sector clients, with emphasis on FERC electric regulation, commercial contracting, and infrastructure project development. Prior to becoming an attorney, she worked as a certified public accountant.

Heather's pro bono work includes representation of Comfort Zone Camp, a bereavement camp for children.

Relevant Experience

  • Regularly advise independent system operators and regional transmission organizations (ISOs/RTOs), the entities responsible for administering and monitoring the wholesale electricity markets in the US and managing grid reliability, on procurement, contracting, licensing, and general corporate matters.
  • Assisted and ISO with the development and administration of credit support policies and procedures applicable to participants in its wholesale electric markets.
  • Represented ISOs/RTOs in numerous federal regulatory proceedings, including those related to tariff revisions and other proceedings at FERC.
  • Advised an ISO regarding FERC-CFTC jurisdictional issues in the aftermath of the Dodd-Frank Act.
  • Advised an ISO in connection with a Department of Energy Smart Grid Investment Grant for a multi-year project providing for approximately $80 million of Smart Grid investments in New York. Work involved all commercial arrangements with the Department of Energy, sub-awardees, and contractors, as well as Department of Energy compliance.
  • Assisted in representing the Government of Uganda in negotiations regarding the construction of the Bujagali hydroelectric dam, including review of the power purchase agreement, implementation agreement, shareholders agreement, and other project documents.
  • Assisted with advising the Government of Rwanda and the US Trade and Development Agency on possible ownership and implementation structures for the Nyabarongo and Rukarara hydroelectric power projects, including advising on contract terms for an engineering, procurement, and construction contract, power purchase agreement, concession agreement, and operation and maintenance agreement.
  • Assisted in representing the Government of Macedonia in redesigning its electricity market structure to allow for gradual market opening and compliance with related EU Directives.
  • Advised on and drafted a wide array of business formation documents, including operating agreements, bylaws, shareholder agreements, and non-disclosure, non-compete and intellectual property assignment agreements.
