Kerry's practice focus on securities offerings, mergers and acquisitions, corporate governance matters and general corporate law, primarily involving REITs and other real estate companies.

Kerry concentrates her practice on public and private securities offerings, mergers and acquisitions, corporate governance matters and general corporate law. She focuses primarily on the real estate industry, particularly exchange-listed real estate investment trusts (REITs). Kerry regularly advises public companies on corporate governance and compliance matters and capital raising, investment and other strategic transactions.

Relevant Experience

Represented issuers or underwriters on numerous IPO, secondary, "at-the-market" and follow-on public securities offerings, as well as private securities offerings under Rule 144A and Regulation D.
Advised NYSE-listed and NASDAQ-listed public companies with respect to Securities Act and Exchange Act disclosure and compliance matters, NYSE and NASDAQ listing requirements, corporate governance and general corporate matters.
Represented NYSE-listed hotel REIT in multiple follow-on common and preferred equity offerings.
Represented industrial REIT in its formation and $200 million initial public offering and listing on the NYSE.
Represented urban real estate developer in "Up-C" formation transactions and $450 million initial public offering and listing on NASDAQ.
Represented NYSE-listed mortgage REIT in its formation and Rule 144A offerings, initial public offering and follow-on common equity offerings raising an aggregate of more than $1.8 billion.
Represented NYSE-listed office REIT in $400 million Rule 144A debt offering and $200 million follow-on common equity offering.
