Len’s practice focuses on the acquisition, allocation and licensing of intellectual property required to conduct businesses; licensing intellectual property as part of technology transfers or purchases/sales of businesses, acquisition and sale of intellectual property, cross-licenses for entire portfolios in selected fields of use, settlement of intellectual property litigation; intellectual property issues in agreements associated with the purchase/sale of products, software, and services; protection, management and monetization of intellectual property, and managing patent and trade secret litigation as both plaintiff and defendant.

As the former Vice President and Associate General Counsel of Verizon’s award-winning intellectual property department (2011 Global Counsel Award, 2010 and 2008 finalist), Len brings a deep understanding of the telecommunications industry and valuable insight into today’s in-house legal department landscape. Prior to Verizon, Len held similar positions at GTE, Bellcore, and Data General.  While at Verizon, Len oversaw all of Verizon’s intellectual property matters, including  mergers, acquisitions and divestitures; licensing, acquisition and divestiture of intellectual property, including licensing patents from patent aggregators; patent litigation settlement; patent portfolio growth and management; protection and enforcement of company intellectual property; and patent and trade secret litigation, both as plaintiff and defendant.

Len is a registered patent attorney, and is admitted to practice in all federal and state Courts of Michigan, Massachusetts and New Jersey and before the Court of Appeals for the Federal Circuit.

Relevant Experience

  • Represented party in joint venture agreements that provided for the contribution of certain licenses to intellectual property by each party to the joint venture, development of intellectual property by or on behalf of the joint venture, licensing of joint venture intellectual property to the parties to the joint venture, and distribution of joint venture intellectual property on termination of the joint venture.
  • Represented purchaser in drafting and negotiating agreements with equipment vendors for early access to and right to use source code for software included in communications equipment.
  • Represented service company in the provision of services to financial institutions and other customers, including drafting and negotiating agreements for the allocation of rights in intellectual property resulting from services performed.
  • Represented user of open source software in determining rights and obligations imposed by applicable open source license agreements, including when the open source software is included in products and/or services provided to third parties.
  • Represented a purchaser of services from third parties, including consultants and developers, that provided for development/modification of software and allocation of rights in the developed software, including rights in background software incorporated or used in or with the developed software.
  • Represented software owner in agreements for the licensing and maintenance of software, including access to and use of source code by the licensee.
  • Represented purchaser/seller in the purchase/sale of patents and patent applications, including the performance of the requisite due diligence.
  • Represented a purchaser of all substantial rights, but less than all rights, to patents and patent applications that enabled the purchaser to enforce the patents against third parties.
  • Represented an IP holding company in agreements with its affiliates that provided for ownership of all intellectual property in a centralized entity, the right of the IP holding company to license the intellectual property to third parties, and the grant of a license in the intellectual property in selected fields of use to each of the affiliates.
  • Represented employer in agreements with employees that provided for the assignment of all intellectual property to the employer, protection and non-use of the employer’s intellectual property, and restrictions on competitive activities.
  • Represented patent licensees in sublicense agreements with their suppliers and vendors to extend to them the benefits of have made rights.
  • Represented member company in its participation in standards setting body to determine rights and obligations of the member company with respect to intellectual property rights policy of the standards setting body.
  • Represented member company of standards setting body in the revision of intellectual property rights policies of the standards setting body.
