Melanie's practice focuses on corporate finance transactions and transactional work for financial institutions, including secondary market domestic and international debt facilities, as well as loan workouts and restructurings and loan participations. Melanie also provides corporate legal counsel to NASCAR motorsports teams and owners.
For financial institutions, Melanie advises clients throughout the life of the financial asset, from primary asset origination through pre-trade diligence, confirmation negotiation, trading and settlement, through restructuring (whether through bankruptcy or private transactions) or maturity. Areas of substantive counsel include due diligence, internal compliance, regulatory, bankruptcy, and corporate and securities, with an emphasis on public side/private side, confidential information flow issues and Securities Act registration exemption analysis.
For motorsports clients, Melanie advises on the creation, negotiation, and interpretation of sponsorship agreements, servicing agreements, team formation documents and other types of motorsports arrangements, including the purchase and sale of racing assets.
Melanie also serves as Hiring Partner for the Charlotte office.
