Hunton & Williams represented Shentel in its acquisition of wireless services provider NTELOS Holdings Corp. Shentel operates as a Sprint affiliate and will offer wireless services in NTELOS’s former service areas. Hunton & Williams also represented Shentel in connection with certain related transactions with Sprint as well as a $810 million financing done in connection with the NTELOS acquisition. The merger agreement was signed on August 10, 2015, but the completion of the merger was subject to regulatory approvals from the Federal Communications Commission and various state agencies. The merger was closed on May 6, 2016. Prior to the closing, NTELOS’s common stock traded on the Nasdaq Stock Market.

The transaction was led by M&A partner Steven M. Haas and included corporate lawyers Jeff Jones and James A. Kennedy, finance lawyers Eric J. Nedell and Carolyn L. Aiken, employee benefits lawyer Jay Ritter, and state regulatory lawyers Richard D. Gary and Timothy E. Biller.
