Hunton Andrews Kurth LLP advised FCC Environmental Services (“FCC”) in its acquisition of Wheelabrator South Broward, Inc., which owns the South Broward Waste-to-Energy (“WtE”) Facility in Fort Lauderdale, Florida, from WIN Waste Innovations. The transaction is expected to close in the second quarter of 2025.

The South Broward WtE Facility, operational since 1991, processes approximately 824,000 tons of residential and commercial post-recycled waste each year. Through its efficient combustion process, it generates enough renewable energy to power over 41,000 local homes and businesses.

The FCC Group, through FCC Environmental Services, draws on the extensive experience of its parent company, FCC Servicios Medio Ambiente, in recovering energy from non-recyclable waste. Florida represents FCC‘s largest operational presence in the U.S., currently serving more than 800,000 residential homes and thousands of commercial customers. This acquisition will further enhance FCC’s service offerings and commitment to environmental stewardship within North America.

The Hunton team was led by partners Fernando C. Alonso and Uriel A. Mendieta, with support from partner William L. Newton, counsel Gabriel M. Lopez and associate Jessica Rivero.

A multidisciplinary team from various offices played a key role in the transaction. Partner Alexandra K. Hamilton, senior attorney Angela Morrison and associate Linda Trees provided invaluable assistance regarding environmental issues, with support from partner Eric J. Murdock, counsel Carter Clements and associate Abigail Contreras. Partner William B. Freeman and associate Caitlin A. Scipioni advised on tax matters. Partner Michelle S. Lewis and associate Jordan Latham advised employee benefits, while associate Daniel J. Butler handled labor matters.  Partner Kevin Hahm and associate Bennett Sooy provided support on HSR and partner Eric R. Markus and associate Sevren R. Gourley advised on CFIUS matters. Partner Ted J. Murphy addressed FERC regulatory issues and counsel Timothy E. Biller provided guidance on FCC licensing matters. Partner Richard Warren provided support on representation and warranty insurance and counsel Gil O. Acevedo advised on real estate issues.
