Hunton Advises on NiSource Inc.’s $1.65 Billion SEC-Registered Debt Offerings
Hunton Andrews Kurth LLP advised the underwriters on SEC-registered offerings by NiSource Inc. (NiSource) of (i) $900 million aggregate principal amount of 5.350% Notes due 2035 and (ii) $750 million aggregate principal amount of 5.850% Notes due 2055. The $750 million issuance of 5.850% Notes due 2055 constituted a reopening of the 5.850% Notes due 2055 originally issued on March 27, 2025.
NiSource is an energy holding company whose primary subsidiaries are fully regulated natural gas and electric utility companies, serving approximately 3.8 million customers in six states. NiSource’s principal subsidiaries include a controlling interest in Northern Indiana Public Service Company LLC, a gas and electric company, as well as NiSource Gas Distribution Group, Inc., a holding company that owns Columbia Gas of Kentucky, Columbia Gas of Maryland, Columbia Gas of Ohio, Columbia Gas of Pennsylvania, and Columbia Gas of Virginia. NiSource derives substantially all of its revenues and earnings from the operating results of these rate-regulated businesses.
