Hunton Advises on American Transmission Company LLC’s $250 Million Private Placement
Hunton Andrews Kurth LLP advised American Transmission Company LLC (ATC) on the company’s private placement to institutional investors of (i) $100 million aggregate principal amount of its 5.44% Senior Notes, Series A, Due December 10, 2036 (the “Series A Notes”) and (ii) $150 million aggregate principal amount of its 5.74% Senior Notes, Series B, Due April 30, 2055 (the “Series B Notes” and, together with the Series A Notes, the “Notes”). The Series A Notes were issued on December 10, 2024 and the Series B Notes were issued on March 31, 2025 and April 30, 2025.
ATC is a Wisconsin-based utility that owns and operates the electric transmission system in portions of Wisconsin, Michigan, Minnesota and Illinois. Formed in 2001 as the nation’s first multi-state transmission-only utility, ATC now owns and operates over $6.5 billion in assets, including over 10,000 miles of transmission lines and more than 585 substations. 12 percent of ATC’s ownership is municipal and cooperative utilities, and 88 percent is investor-owned utilities.
