Hunton Advises on Southern Company Gas Capital Corporation’s $850M Senior Notes Offerings

Hunton Andrews Kurth LLP advised the underwriters in connection with SEC-registered offerings by Southern Company Gas Capital Corporation (Southern Company Gas) of $425 million aggregate principal amount of its Series 2025A 4.05% Senior Notes due September 15, 2028 and $425 million aggregate principal amount of its Series 2025B 5.10% Senior Notes due September 15, 2035, each fully and unconditionally guaranteed by Southern Company Gas.

Southern Company Gas, a wholly owned subsidiary of The Southern Company, is an energy services holding company, headquartered in Atlanta, Georgia, whose primary business is the distribution of natural gas in four states—Illinois, Georgia, Virginia, and Tennessee—through its four natural gas distribution utilities. On December 31, 2024, these utilities served approximately 4.4 million end-use customers. Southern Company Gas is also involved in several other businesses that are complementary to the distribution of natural gas.
