Hunton Advises on Alabama Power Company’s $500M Senior Notes Offering

Hunton Andrews Kurth LLP advised the underwriters on an SEC-registered offering by Alabama Power Company (“Alabama Power”) of $500 million aggregate principal amount of Series 2025C 4.30% Senior Notes due March 15, 2031 (the “Series 2025C Senior Notes”). The net proceeds of the Series 2025C Senior Notes will be used to fund all or a portion of the approximately $622 million purchase price (subject to working capital adjustments) for its pending acquisition of all of the equity interests in Tenaska Alabama Partners, L.P., which owns and operates the Lindsay Hill Generating Station. Any remaining net proceeds will be used for general corporate purposes, including the Company’s continuous construction program.

Alabama Power is a wholly owned subsidiary of The Southern Company. Alabama Power is engaged in the generation, transmission, distribution and purchase of electricity and the sale of electric service within the State of Alabama at retail in approximately 400 cities and towns (including Anniston, Birmingham, Gadsden, Mobile, Montgomery and Tuscaloosa), as well as in rural areas and at wholesale.
